Welcome to iRisk, an Enterprise Risk Management System (ERMIS) designed to assist organizations in identifying, assessing, and managing risks effectively. By accessing and using iRisk, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, please refrain from using iRisk.

2. Definitions

• "iRisk" refers to the Enterprise Risk Management System developed and operated by AMJ.
• "User" refers to any individual or entity accessing or using iRisk.
• "License" refers to the agreement between the User and AMJ for access to iRisk.
• "Services" refers to all features, functionalities, and updates provided through iRisk.

3. Use of Services

3.1 Eligibility

Users must be at least 18 years old or have legal authorization to enter into a binding contract to use iRisk.

3.2 Licensing and Access

• iRisk is licensed, not sold, to Users under a one-time licensing model.
• Users may not sublicense, resell, or transfer their access rights without prior authorization.

3.3 Acceptable Use

Users agree not to:

• Engage in illegal or unauthorized use of iRisk.
• Attempt to access restricted areas without permission.
• Interfere with the system's security, stability, or performance.
• Misuse or manipulate risk assessment data.

4. Licensing and Payment

4.1 Licensing Model

• iRisk operates under a one-time licensing model, with fees payable upon purchase.
• White-labeling options are available for eligible enterprise clients.

4.2 Payment Terms

• License fees are due as per the agreed payment terms at the time of purchase.
• Failure to make timely payments may result in revocation of the license.
• Refunds are not provided except as required by law.

5. Data Privacy and Security

5.1 Data Collection and Usage

• iRisk collects and processes data in accordance with its Privacy Policy.
• Users retain ownership of their data but grant iRisk permission to process it for service functionality.

5.2 Security Measures

• iRisk implements industry-standard security protocols to protect user data.
• Users are responsible for safeguarding their login credentials.

6. Intellectual Property

All intellectual property rights, including trademarks, copyrights, and patents related to iRisk, remain the exclusive property of AMJ. Users may not copy, modify, or distribute any part of iRisk without written permission.

7. Warranties and Disclaimers

• iRisk is provided "as is" without warranties of any kind.

8. Limitation of Liability

AMJ shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use iRisk.

9. Termination

• AMJ reserves the right to terminate or suspend access to iRisk for violations of these Terms.
• Users may terminate their license by following the cancellation procedure outlined in their agreement.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Kenya. Any disputes shall be resolved through arbitration or mediation before resorting to legal proceedings.

11. Changes to Terms

AMJ reserves the right to modify these Terms at any time. Users will be notified of significant changes.
